By accessing or using SmartAgentX (“the App,” “Site,” “Platform,” “we,” “us,” or “our”), you represent that you have the full authority to act on your own behalf or on behalf of any third party, company, or legal entity you represent. Your use of and continued interaction with SmartAgentX constitutes your acknowledgment that you have read, understood, and agreed to these Terms of Use, as well as any other policies, agreements, or guidelines that may be published by us from time to time.
By viewing, accessing, registering for, using, or interacting with SmartAgentX, including any content, features, communications, or advertisements provided through the platform, you agree to be bound by these Terms of Use, our Privacy Policy, Refund Policy, License Policy, and Support Policy.
SmartAgentX reserves the right to deny access to any person or entity for any lawful reason.
Under the terms of our Privacy Policy, which you accept as a condition of using SmartAgentX, we may collect, process, and store information and data for operational, security, compliance, and other legitimate business purposes.

You are also prohibited from framing, mirroring, or otherwise reproducing the appearance or functionality of SmartAgentX without authorization.
You agree to cooperate in removing or disabling any unauthorized use and acknowledge liability for damages resulting from violations of this provision. Where damages are difficult to quantify, you agree that SmartAgentX may recover actual damages, costs, and any other remedies available under applicable law.
Acceptance of these Terms is a condition of accessing and using SmartAgentX.
Disclaimer for Content and Services
SmartAgentX provides content, software, tools, automation features, AI-generated outputs, and related services on an “as is” and “as available” basis.
We make no representations or warranties regarding the accuracy, completeness, reliability, suitability, or availability of any content, recommendations, AI-generated outputs, or information provided through the platform.
Users assume all risks associated with relying upon any information, content, or output generated by SmartAgentX. Unless otherwise expressly agreed in writing, no information provided through the platform shall create any warranty or guarantee.
SmartAgentX shall not be responsible for any damage to devices, software, systems, or data resulting from the use of the platform, including but not limited to malware, viruses, technical failures, or data corruption.
Users access and use SmartAgentX entirely at their own risk.

- AI-generated content or outputs;

In jurisdictions where limitations of liability are restricted, our total liability shall not exceed the amount paid by you, if any, for access to or use of SmartAgentX during the twelve (12) months preceding the claim.
You further agree that we shall not be liable for circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, labor disputes, government actions, infrastructure failures, internet outages, and force majeure events.
Indemnification
You agree to indemnify, defend, and hold harmless SmartAgentX, its affiliates, officers, directors, employees, contractors, and licensors from and against any claims, damages, liabilities, losses, expenses, and costs (including reasonable attorneys’ fees) arising from:
- Your use of the platform;
- Your violation of these Terms;
- Your violation of any law or regulation;
- Your infringement of any third-party rights.
User Submissions
Any communications, feedback, suggestions, ideas, feature requests, comments, or materials submitted to SmartAgentX may be treated as non-confidential and non-proprietary.
By submitting such materials, you grant SmartAgentX a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable right to use, reproduce, modify, distribute, publish, display, and otherwise exploit such submissions for any lawful business purpose without compensation to you.
You represent that you have all necessary rights to provide such submissions.
User Registration
Certain features of SmartAgentX may require registration.
You agree to maintain the confidentiality of your account credentials and accept responsibility for all activities conducted through your account.
By registering for SmartAgentX, you represent and warrant that:
- All registration information provided is accurate, current, and complete;
- You will promptly update such information as necessary;
- You have the legal capacity to enter into these Terms;
- You are not prohibited from using the platform under applicable law;
- You will not access the platform through unauthorized automated means, including bots, scripts, or scraping tools unless expressly permitted;
- You will not use SmartAgentX for unlawful, fraudulent, harmful, or unauthorized purposes;
- Your use of the platform will comply with all applicable laws and regulations.
We reserve the right to suspend, restrict, or terminate any account containing false, misleading, incomplete, or inaccurate information.
Intellectual Property Rights
Unless otherwise stated, SmartAgentX and all related software, source code, databases, functionality, designs, text, graphics, interfaces, trademarks, logos, service marks, AI models, content, and materials (collectively, the “Content”) are owned by or licensed to SmartAgentX and are protected by applicable intellectual property laws.
No part of SmartAgentX may be copied, reproduced, distributed, modified, sold, licensed, republished, reverse engineered, or otherwise exploited without our prior written permission.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use SmartAgentX solely for your personal or authorized business use.
All rights not expressly granted are reserved.
Site and Platform Management
We reserve the right, but not the obligation, to:
- Monitor use of SmartAgentX for violations of these Terms;
- Investigate and take legal action against suspected violations;
- Restrict, suspend, or terminate access to any user;
- Remove, modify, or disable content or files that are excessive, harmful, unlawful, or disruptive;
- Manage and operate the platform in a manner designed to protect our users, business interests, systems, and intellectual property.
Term and Termination
These Terms remain in effect while you use SmartAgentX.
We reserve the right, in our sole discretion and without prior notice, to suspend, restrict, or terminate access to SmartAgentX for any reason, including but not limited to violations of these Terms or applicable laws.
Upon termination, your right to access and use the platform will immediately cease.
If your account is terminated, you may not create a new account under your own name, a fictitious name, or the name of another individual or entity without our express written consent.
We reserve all legal rights and remedies available under applicable law.
Notice
Except where required by applicable law, no additional notice is required to be provided to users regarding enforcement of these Terms, account actions, service changes, restrictions, or termination.
By using SmartAgentX, you acknowledge and agree that electronic communications, notifications, policy updates, and announcements made through the platform or via email satisfy any legal requirement for written notice.

NOTE: The word “lifetime” applies to the life of the product. The average lifetime of a product of this nature, sold at this price point to be supported is approximately 5 years.
